COMMON QUESTIONS

Why Delaware?

It’s what investors expect. Delaware corporate law is well developed, its courts are experienced with business disputes, and investor counsel know it inside out. If you plan to raise venture capital, it’s the default.

C-Corp or LLC?

If you plan to raise from venture investors, a C-Corp—most won’t invest in an LLC. An LLC can make sense for a business that won’t raise outside capital and wants pass-through tax treatment. We’ll recommend one on the call.

How long does it take?

Three to five business days after we receive your information. Expedited filing is available for an additional fee.

What happens after formation?

You get a complete set of signed documents and a checklist of next steps. Many founders keep us on from there, either by the matter or as their outside general counsel.
