Ben Diamond focuses on commercial contracts, privacy, data security, AI and HIPAA. He spent 12 years as Executive Director and Senior Counsel at Aetna and CVS Health, then served as Associate General Counsel at Transcarent, a high-growth health-tech company.

He has built and led commercial legal teams, overseen multibillion-dollar commercial transactions, and advised on technology, AI governance and regulatory compliance in heavily regulated industries. Having worked for both the enterprise buyer and the startup seller, Ben knows what large customers need from a contract and how to get a deal through their procurement process without slowing the business down.

Shalina Rahman advises emerging technology companies and their investors on corporate and venture transactions, from formation through financing and exit.

She has a decade of transactional experience in London and New York. She joins Parallax from Goodwin, where she spent nearly five years in the Emerging Companies and Venture Capital practice advising companies and venture investors on formations, equity issuances, convertible instruments and priced rounds. Before Goodwin, she practiced at Davis Polk & Wardwell in New York, and trained and qualified at Slaughter and May in London.

At Parallax, her work covers Delaware incorporations and founder equity, entity conversions and cap table reconstruction, restricted stock and option grants, SAFE and convertible note financings, cross-border securities analysis, and buy-side M&A.

Shalina is admitted in New York and as a solicitor in England and Wales.

Ximena Herrera is Senior Contract Specialist at Parallax Law, supporting the firm’s commercial contract review work. She is a foreign-qualified attorney and is not admitted to practice in New York.

Kaitlyn is a corporate and contracts paralegal with more than 14 years of experience. She brings a close eye for detail and a thorough understanding of corporate and contract processes.

Outside work, she spends her time with her family and outdoors, and has a soft spot for animals.

Chris Thompson is a Senior Corporate Paralegal specializing in emerging companies. He supports the corporate team on cap tables, financings, option grants and M&A for early-stage clients.
